Participation in the Show Your G-Face contest (the “Contest”) constitutes an entrant’s full and unconditional agreement and acceptance of these Official Rules and Regulations (these “Rules”) and the decisions of the Contest Sponsor (as define below), which are final and binding on all matters relating to the Contest. Entrants must be available to travel between October 10th, 2014 and October 13Th, 2014 (see Prize [defined below]
Sponsor:
The sponsor of the Contest is Red Bull Canada Ltd. (the “Contest Sponsor”).
Eligibility:
The Contest is open to legal residents of Canada who have reached the age of majority in their province or territory of residence by August 18th, 2014. Employees, representatives, agents, directors, and officers of the Contest Sponsor, their immediate family members (i.e. parents, siblings, and children), and those persons with whom they are domiciled are not eligible to enter.
The Contest Period:
Entrants may enter the Contest at any time between 12:01 A.M. Eastern Time (“ET”) on August 18th, 2014 and 11:59:59 P.M. ET on September 23rd, 2014 (the “Contest Period”).
Participation in The Contest:
During the Contest Period, visit redbull.ca/gface (the “Website”), submit an original and unique photograph in .jpg, .png or .gif (non-animated) and under 5MB in size (your “Photo”) of yourself in which you are showing your interpretation of a pilots face under the pressure of G-Force (your “G-Face”) and complete the online official entry form (the “Entry Form”) by following the on-screen instructions, which will require you to: (i) provide your name (first & last), email address and phone number; and (ii) signify that you have read and agree to be legally bound by these Rules. Your “G-Face” can be created naturally or by using photograph editing software. Together, an entrant’s uploaded Photo and submitted Entry Form will constitute his or her entry (an “Entry”). In order to be eligible, an entrant’s Photo must comply with the Photo Terms and Photo Content Restrictions provided below and his/her Entry Form must be fully completed, submitted and received during the Contest Period. Each Photo may be added to the online gallery of Photos (as determined by the Contest Sponsor at its sole and absolute discretion), which will be located on the Website. There is a limit of one entry per email address. The Contest Sponsor will not acknowledge or confirm receipt of any Entry and cannot guarantee receipt of such.
IMPORTANT NOTE: A Photo must not depict or involve unsafe behaviours – any Photo that depicts or involves unsafe behaviours (as determined by the Contest Sponsor at its sole discretion) will be disqualified.
By entering the Contest and submitting an Entry, each entrant: (i) grants to the Contest Sponsor, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Photo, in whole or in part, for advertising or promoting the Contest, or for any other reason, in any form of media now known or hereafter developed; (ii) waives all moral rights in and to his/her Photo in favour of the Sponsor; (iii) warrants and represents that he/she has all necessary rights in and to his/her Photo as required by these Rules and that his/her Photo complies with the Photo Terms and the Photo Content Restrictions outlined below; (iv) agrees to release and hold harmless the Released Parties (defined below) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relate in any way to his/her Photo; (v) agrees to release the Released Parties from liability in connection with staging, posing for or photographing the submission; and (vi) indemnifies the Released Parties in the event of any claims in respect of taking the photograph.
Entry Photo Terms:
Entrants agree to and understand that Photos may be made available to the public (as determined by the Contest Sponsor at its sole discretion), including without limitation, posting on the Internet. Whether or not Photos are published on the Internet, Sponsor does not covenant or guarantee any confidentiality with respect to any Entries (or any portion thereof).
Each Photo must be a unique and original creation of the submitting Entrant who must not be under any restriction, contractual or otherwise, that will prevent the Contest Sponsor’s use of the Photo and each Photo must be free of any and all liens, encumbrances and claims of third parties. Each entrant acknowledges, agrees and warrants that, nothing in his/her Entry (or any portion thereof, including his/her Photo) infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than the entrant, absent a suitable license, clearance or permission agreement (proof of which is required upon Contest Sponsor’s request, failing which the applicable entrant may be disqualified, as determined by the Contest Sponsor at its sole and absolute discretion), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured. Without limiting the foregoing and for greater certainty, each entrant agrees to indemnify and hold harmless the Contest Sponsor, its franchisees, licensees, subcontractors, affiliated organizations, advertising and promotion agencies, prize suppliers and any entity involved in the organization, administration or execution of the Contest, and each of the foregoing parties’ respective owners, officers, directors, employees, successors and assigns (collectively, the “Released Parties”), from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by the entrant of these Rules, the warranties and representations made by the entrant in these Rules or any use of his/her Photo as contemplated by these Rules. Modifying, enhancing or altering a third party’s preexisting work does not qualify as entrant’s original creation.
Each entrant represents that he or she has the express consent of any identifiable person(s) appearing in his/her Photo (and, if a minor, of such person’s parent or legal guardian) to use their likeness as it appears in the Photo as set out in these Rules, including, without limitation, the Contest Sponsor’s right to use the Photo for any future commercial purpose without restrictions. Upon request, an entrant will be required to obtain written consent of any such persons (and, if a minor, of such person’s parent or legal guardian) for the Sponsor, failing which the entrant may be disqualified (as determined by the Contest Sponsor at its sole discretion).
Each entrant acknowledges and agrees that the Contest Sponsor may use any ideas from any Entry or other submitted materials, whether or not the applicable entrant has been awarded a prize in connection with any such Entry or other materials. Without limiting the generality of the foregoing, each entrant agrees to release, defend, indemnify and hold harmless the Released Parties from all claims, demands, and causes of action of any nature whatsoever which the entrant or the entrant’s heirs, representatives, executors, administrators, or any other persons acting on the entrant’s behalf or on behalf of the entrant’s estate, have or may have by reason of: (i) the Contest Sponsor’s exercise of any rights granted by the entrant in these Rules; (ii) claims based on violation of any right of publicity or rights of personality, infringement of copyright or trademark, libel, slander, defamation, invasion of privacy, loss of earnings or potential earnings in connection with Sponsor’s use of his/her Entry (or any portion thereof), or the likeness of any natural person therein; or (iii) entrant’s violation of any representation, warranty, or covenant in this Section A or Section B.
Each entrant is responsible for securing all necessary permissions, location releases, and licenses for any material contained in his/her Entry (including, without limitation, his/her Photo).
The Contest Sponsor is not responsible for any expenses incurred in the production and delivery of the Entries.
Photo Content Restrictions: In order to be eligible, a Photo must not contain material that:
References tobacco, smoking or smoking products or alcoholic beverages, or otherwise contains or depicts someone smoking or intoxicated;
Violates or infringes another’s rights, including without limitation, privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
Contains material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
Contains any clothing or adornments determined to be unacceptable in Sponsor’s sole discretion, or displays any commercial/corporate advertising other than that of Contest Sponsor (including but not limited to corporate logos, brand names, trademarks, slogans, political, personal and religious statements);
Contains indecent, violent, or unsafe behaviour or situations, profanities or obscenities, including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent, profane, obscene, hateful, tortuous, slanderous or libelous;
References persons or organizations without their written permission;
Disparages any persons or organizations;
Includes threats to any person, place, business, or group; or
Is unlawful, in violation of or contrary to applicable federal, provincial, or municipal laws and regulations.
Each Entry (including, without limitation, each Photo) will be reviewed by the Contest Sponsor to determine eligibility in accordance with these Rules. If a dispute results as to the identity of an entrant, the entrant will be considered the authorized account holder assigned to the email address listed in the corresponding Entry Form.
The Contest Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Contest Sponsor) to participate in the Contest. Failure to provide such proof in a timely manner may result in disqualification.
Selection and Notification Period:
On or about September 25, 2014, or as soon thereafter as reasonably practicable, a panel of judges selected by the Contest Sponsor at its sole and absolute discretion will review all Photos submitted during the Contest Period and will assign each such Photo a score (each, a “Score”) on the basis of the following judging criteria (weighed equally): (i) creativity; and (ii) originality. The entrants associated with the Photos that receive the three (3) highest Scores (as determined by the panel of judges at their sole and absolute discretion), will each be deemed a potential Prize winner. All decisions of the panel of judges are final and binding in respect of the determination of Scores. In the event of a tie, the entrant (from among such entrants that are tied) associated with the Photo that obtained the higher score on originality will be deemed to have obtained the highest Score (from among such tied entrants). The potential Prize winner’s are scheduled to be selected by September 29th, 2014 at 12:00 PM EST] (the “Selection Date”). The odds of being selected as a Prize winner will depend on the number of eligible Entries received during the Contest Period and the calibre of the Photos submitted as part of such Entries on the basis of the aforementioned judging criteria.
The Sponsor (or its designated representative) will attempt to contact each potential Prize winner via email within 1 business day of the Selection Date. If a potential Prize winner either declines a Prize, or does not respond to such notification within forty-eight (48) hours of such notification, or is otherwise deemed ineligible to accept a Prize (as determined by the Contest Sponsor at its sole and absolute discretion), such potential Prize winner will de disqualified and will forfeit any and all rights to a Prize, and up to two (2) alternate potential Prize winners will be chosen by the Contest Sponsor on the basis of the Photo that obtained the next highest Score. In order to be eligible to receive a Prize, each potential Prize winner will also be required to complete and return to Contest Sponsor, a signed copy of the Contest Sponsor’s Declaration and Release form (the “Declaration and Release”), within forty-eight (48) hours of receipt of such. Failure to return the signed Declaration and Release may result in forfeiture of the Prize by the applicable potential Prize winner. In order to be eligible to participate in a Prize, the guest of each Prize winner will be required to fill out, and return to the Contest Sponsor, a Travel Companion Release Form by either fax or scan within twenty-four hours or postmarked within forty-eight (48) hours of the applicable winner’s receipt of such. All potential Prize winners are subject to verification of eligibility, as determined by the Contest Sponsor in its sole discretion, and compliance with these Rules. If no confirmed Prize winner is ascertainable for a particular Prize after the three (3) attempts referenced above, such Prize will remain un-awarded, and the Contest Sponsor is under no obligation to continue to attempt to award any such un-awarded Prize(s).
Prizes:
There are three (3) prizes (each, a “Prize”). Each Prize consists of a Red Bull Air Race Experience for two (2) in Las Vegas, Nevada from October 10 - 12, 2014. Each Prize includes roundtrip, coach-class air or rail transportation from a major airport/train station located closest to the Prize winner’s place of residence, two (2) nights hotel accommodation (based on double occupancy) and tickets to Red Bull Air Race in Las Vegas October 11 – 12th, 2014. (Seat selection is at the Contest Sponsor’s sole discretion). The Contest Sponsor will determine airports, airlines, train stations, mode of transportation, hotel, itinerary, and room size in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight or train trip. Travel and accommodations are subject to availability. All expenses and incidental travel costs not expressly stated in the trip package description, including, but not limited to, ground transportation during the trip (including, without limitation, to and from the Red Bull Air Race), meals, drinks, gratuities, incidentals, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, or other expenses are the responsibility solely of each winner and his/her travel companion. A minimum of one (1) person, either the Prize winner or his/her travel companion, must hold a valid credit card to cover any incidentals or any other requirement that may be required at the hotel. Each Prize winner shall not be entitled to receive, in cash, certificate or otherwise, the balance of any amount representing the difference of the Prize approximate retail value and actual cost, or if any aspect of the Prize is unused. No frequent flyer miles or other reward points will be available. It is recommended that Prize winner and his/her travelling companion obtain sufficient personal insurance prior to departure. The winner has the sole discretion to choose their travel companion as long as the travel companion has reached the age of majority in their province or territory of residence. The travel companion may not use all or any part of the Prize without the winner. Each winner and his/her travel companion are solely responsible for obtaining valid documents required for travel and must not have any legal barrier to enter (or return from) the United States of America. Further travel restrictions, conditions and limitations may apply. The Contest Sponsor is not responsible if Red Bull Air Race is delayed, postponed, or cancelled for any reason, in which event the Prize will be forfeited in its entirety and no substitution will be provided, except at the Contest Sponsor’s sole discretion. The approximate retail value of the Grand Prize is $3500 CAD based on a round-trip air travel between Toronto and Las Vegas. Actual retail value may vary depending on departure date and departure city.
Each Prize must be accepted as awarded and, by accepting a Prize, each winner acknowledge that none of the Released Parties are responsible for or made any warranty or representation, expressed or implied, regarding the Prizes. The winners will receive no further compensation other than that expressly disclosed in these Rules. The Contest Sponsor shall have no further obligation to the winners other than that expressly outlined in these Rules. Each Prize is non-transferable. No substitutions, in cash or otherwise, are permitted, except by the Contest Sponsor at its sole discretion. Limit of one (1) Prize per person.
General:
By participating, all entrants agree: (a) to be bound by these Rules and the decisions of the Contest Sponsor, which are final and binding; (b) without limiting the generality of the foregoing, to release, discharge, indemnify and hold harmless Released Parties from, any and all liability, claims, causes of action, proceedings, costs, expenses and damages with respect to, resulting from, caused by or arising from acceptance, possession or use or misuse of a Prize (if applicable) or participation in the Contest, including but not limited to claims/damages for personal injury (including death) to entrant or any third party, and/or property damage, and/or claims/damages based on publicity rights, defamation, and intrusion of privacy or intellectual property infringement.
Claims and causes of action arising out of or connected with the Contest or any prize award shall be resolved in accordance with the laws of the Province of Ontario. By participating in the Contest, entrants agree to irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario over any claim or matter arising under or in connection with the Contest or these Rules.
The Contest Sponsor shall not be held responsible for any problems, errors or negligence that may arise or occur in connection with the Contest. The Contest Sponsor accepts no responsibility for loss, damage or claims caused by or resulting from the Contest or acceptance, use or misuse of a prize. The Contest Sponsor will not be liable or responsible for late, lost, illegible, damaged, misdirected, incomplete, falsified, tampered with, altered or destroyed Entries or Entries containing inaccurate or outdated contact information, and all such Entries are void. In the event it is determined that an entrant has entered in a fashion not sanctioned by these Rules, the entrant will be disqualified and all of the Entries submitted by the entrant will be disqualified. The Contest Sponsor is not responsible for any typographical, human or other error in the printing of the Rules and/or collateral advertising materials, the administration of the Contest, the processing of the Entries or in the announcement of a winner or in any other materials or information associated with the Contest. The Contest Sponsor will not be liable, and does not assume any responsibility, for incorrect or inaccurate capture of Entry information, technical malfunctions, human or technical error, printing errors, lost, delayed or garbled data, or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer lines or networks, computer equipment, mobile devices, software, or any combination thereof. The Contest Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of Entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive information by the Contest Sponsor on account of technical problems, or on account of traffic congestion on the Internet, any network, or at any website (including the Website) or any combination thereof.
The Contest Sponsor reserves the right to terminate or suspend the Contest and/or to amend the Rules at any time and in any way, without prior notice, subject to obtaining the approval of the Régie des alcools, des courses et des jeux du Québec.
Personal Information:
Personal Information collected from entrants by the Contest Sponsor will be collected, used and disclosed by the Contest Sponsor and/or its representatives and agents to administer the Contest; and in accordance with the Contest Sponsor’s privacy policy, which is available at http://www.redbull.com/ca/en/stories/1331597514390/data-protection-and-privacy-policy. Neither the Contest Sponsor nor its representatives and agents will share this information with any third parties, except as necessary for the administration of the Contest, as provided herein and/or as permitted by law. The Contest Sponsor will not attempt to contact entrants for any other purpose unless they have consented thereto. The Contest Sponsor respects the privacy of everyone who visits the Contest website.
For Residents of Quebec:
Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux du Québec for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. |
